Terms of Service
Draft legal content requiring review before publication.
1. Draft status and agreement
These draft Terms of Service describe the proposed terms for access to TradeBot, operated by [LEGAL COMPANY NAME]. They require legal and operator review before publication and do not become final while bracketed provisions remain unresolved.
Proposed effective date: [EFFECTIVE DATE]. By using a published version of the service, an authorized customer representative would agree to the then-current terms on behalf of the applicable organization.
2. Service description
TradeBot is a WhatsApp-first trade operations platform built to integrate with the WhatsApp Business Platform. It helps business teams organize authorized communications and manage Parties, Deals, Deal items, offers, Tasks, and related operational records.
Features may depend on the customer’s plan, configuration, location, connected providers, permissions, and availability. TradeBot does not itself provide telecommunications, WhatsApp, payment, banking, logistics, accounting, or legal services.
3. Accounts and customer responsibilities
- Provide accurate account and organization information and keep it current.
- Protect passwords, devices, and administrator access, and promptly report suspected misuse.
- Assign roles only to authorized users and remain responsible for activity under the organization account.
- Obtain all permissions, notices, and lawful bases required for business contacts, WhatsApp communications, uploaded information, and instructions supplied to TradeBot.
- Review business records, AI-assisted outputs, offers, Tasks, and Deal decisions before relying on or acting on them.
4. Acceptable use
Customers and users must not use TradeBot to violate law, third-party rights, Meta or WhatsApp policies, or the security and integrity of the service.
- Do not send unlawful, deceptive, abusive, infringing, unsolicited, or unauthorized communications.
- Do not upload malicious code, probe or bypass access controls, disrupt the service, or attempt unauthorized access to another tenant or provider account.
- Do not share credentials, access tokens, API keys, or verification codes with unauthorized persons.
- Do not use AI-assisted output as a substitute for required professional advice or human business judgment.
- Do not resell, reverse engineer, scrape, or misuse the service except where expressly authorized or legally permitted.
5. WhatsApp and Meta dependencies
WhatsApp connectivity depends on Meta, the WhatsApp Business Platform, approved assets, customer eligibility, network availability, provider policies, templates, permissions, and third-party service changes. TradeBot does not control those services and does not claim Meta approval, official partnership, Tech Provider status, or uninterrupted feature availability.
Customers remain responsible for their Meta and WhatsApp accounts, policy compliance, message recipients, templates, consent obligations, and provider charges. Provider suspension, revocation, API changes, or asset ineligibility may limit TradeBot functionality.
6. Advisory AI and human confirmation
TradeBot may use configured AI services, including OpenAI, to assist message classification, structured extraction, summaries, and candidate business records. AI output may be incomplete, inaccurate, or unsuitable and must be reviewed by an authorized user.
AI does not own authorization or final commercial state. Deterministic application rules govern business changes, and authorized human users explicitly confirm Deals. Customers remain responsible for commercial, contractual, pricing, delivery, payment, and other business decisions.
7. Availability and changes
The service may be unavailable because of maintenance, incidents, provider failures, network conditions, security measures, or events outside the operator’s reasonable control. No uptime commitment or service credit applies unless stated in a separate written agreement.
Features, integrations, limits, and interfaces may change to improve the service, address security or legal requirements, or respond to provider changes. Material changes should be communicated through an appropriate service or business channel where practicable.
8. Suspension and termination
Access may be suspended or limited when reasonably necessary to protect the service or others, investigate suspected misuse, comply with law or provider requirements, address non-payment under an applicable commercial agreement, or respond to a material breach.
Account termination, data export, deletion, retention, and continuing obligations will follow the final commercial agreement, Privacy Policy, Data Deletion Instructions, and applicable law. Disconnecting WhatsApp does not itself delete stored TradeBot data.
9. Ownership and feedback
Customers retain their rights in information they lawfully provide. The final commercial terms must define the licenses required for TradeBot to host, process, transmit, secure, and display that information while providing the service.
TradeBot software, branding, documentation, and service design remain the property of their respective owners. Feedback may be used to improve the service without disclosing customer confidential information, subject to the final reviewed terms.
10. Disclaimers and liability
The final warranty disclaimers, liability exclusions, liability cap, indemnities, and allocation of risk have not been approved. Required draft placeholder: [LIABILITY LIMITATIONS AND DISCLAIMERS]. These provisions must be supplied and reviewed by qualified counsel before publication.
11. Governing law and disputes
The governing law, courts, and any dispute-resolution process are not yet confirmed: [GOVERNING LAW AND JURISDICTION]. This provision must be completed and legally reviewed before publication.
